Acceptance of Terms By accessing, creating an account, or using Klipczar.com, you confirm that you can form a binding contract with us, that you accept these Terms, and that you agree to comply with them. Your access to and use of our Services is also subject to our Privacy Policy and Community Guidelines. If you do not agree to all terms, you may not access or use the site.
Eligibility You must be at least 13 years of age to use Klipczar. If you are under 18, you may only use the Services with the consent of your parent or legal guardian. By registering, you represent and warrant that you meet these requirements and that you have the capacity to abide by all the terms and conditions herein.
User Content License and Monetization You retain ownership of the video clips and media you upload (“User Content”). However, by posting content to Klipczar, you grant us an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, sub-licensable, perpetual, worldwide license to use, display, reproduce, modify, and distribute your content. This includes the right for Klipczar to share your clips on other social media platforms (YouTube, TikTok, Instagram, etc.). Klipczar reserves the right to monetize this content through advertising, sponsorships, or compilation videos. You acknowledge and agree that you will have no right to share in any revenue, goodwill, or value generated by Klipczar through the use of your content.
Prohibited Content and Account Termination You agree not to upload any content that is illegal, hateful, or pornographic; violates the copyright or intellectual property of others (including clips you do not own); or contains malware or viruses. We reserve the right to suspend or terminate any account and remove any content at our sole discretion, without notice, for any violation of these terms or for conduct we deem harmful to the community.
Copyright and DMCA Policy Klipczar respects intellectual property rights. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond to notices of alleged infringement reported to our designated agent. We reserve the right to remove or disable access to any material claimed to be infringing and to terminate the accounts of repeat infringers. If you believe your work has been copied, please provide our agent with a written notice containing a description of the copyrighted work and the location of the material on our site.
Limitation of Liability and Indemnification Klipczar is provided strictly on an “as is” and “as available” basis. We make no warranties, expressed or implied, regarding the reliability, security, or continuous availability of the service. You use this platform at your own sole risk. To the fullest extent permitted by law, Klipczar and its owners shall not be held liable for any direct, indirect, incidental, or consequential damages, including loss of data, video clips, or account bans on external platforms (like Twitch or YouTube). You are solely responsible for maintaining your own backups. You agree to indemnify, defend, and hold harmless Klipczar and its owners from any and all claims, damages, and legal fees arising from your violation of these Terms, your misuse of the platform, or your infringement of any third-party rights.
Dispute Resolution and Mandatory Arbitration Before filing any formal legal claim, you agree to first attempt to resolve the dispute informally by contacting us directly. The party raising a dispute will allow 60 days for a response. If a dispute cannot be resolved informally, you and Klipczar agree that any final and binding legal proceeding will be settled through mandatory binding individual arbitration rather than in a court of law.
- Class Action Waiver: You and Klipczar waive any right to participate in a class-action lawsuit or class-wide arbitration. All claims must be brought in your individual capacity.
- Arbitration Terms: Any arbitration shall be conducted in the English language by a single arbitrator in the State of Delaware. The prevailing party shall be entitled to recover reasonable legal fees and costs.
Governing Law and Venue These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For any legal action, suit, or proceeding that is not subject to the mandatory arbitration provisions of these Terms, you and Klipczar irrevocably agree that the exclusive jurisdiction and venue for such action shall be the Court of Chancery of the State of Delaware. If the Court of Chancery lacks subject matter jurisdiction, the matter shall be brought exclusively in the Superior Court of the State of Delaware or the United States District Court for the District of Delaware. You hereby irrevocably waive any objection to the laying of venue in such courts and irrevocably submit to the exclusive personal jurisdiction of such courts.
